Terms of Service

1. Acceptance of terms

By accessing or using Fotiqo (the “Service”) you agree to these Terms. If you do not agree, do not use the Service. These Terms apply to both Venues accounts and Photographers/Studios accounts unless a section explicitly says otherwise.

2. Services

Fotiqo provides (a) a photography delivery and e-commerce platform, (b) embeddable widgets (Reviews, Instagram, Booking, Gallery), (c) AI-assisted tooling (culling, response generation, Service Interception), and (d) related infrastructure. Specific product scope is described on the corresponding product pages and in your subscription or commission agreement.

3. Account registration

3.1 Venues accounts

Venues (hotels, water parks, attractions, cruise ships, wedding venues) register via an application reviewed by Fotiqo sales. A signed order form or DPA (see /legal/dpa) governs the specific terms of the engagement and takes precedence where it differs from these Terms.

3.2 Photographers & Studios accounts

Photographers and studios may self-serve via /signup and are billed on a subscription basis. You are responsible for activity under your credentials and for keeping them secure.

4. Pricing and commissions

Venues: commission tiered between 10% and 2% of Service-processed transactions, per the rate card agreed in your order form. Studios: subscription fees as listed on /pricing. Taxes are charged where applicable. Payouts are processed via Stripe Connect and settle to your linked account subject to Stripe’s schedules.

5. Intellectual property

You retain ownership of photos, videos, and other content you upload. You grant Fotiqo a worldwide, royalty-free license to store, transmit, and process such content solely to operate the Service on your behalf. Fotiqo and its licensors retain all rights in the platform software, trademarks, and AI models.

6. Prohibited conduct

• No uploading content you do not have the right to distribute.
• No review gating, incentivised reviews, or any pattern that would breach Google Business Profile ToS, the EU Omnibus Directive, or the FTC Review Rule. See /legal/compliance.
• No scraping, reverse-engineering, or bypassing rate limits.
• No use of the Service to harass, defame, or harm others.

7. Termination

You may terminate at any time from your account settings. Fotiqo may suspend or terminate accounts that materially breach these Terms or pose legal, security, or payment risk, with reasonable notice where practicable. On termination, data is retained per the schedule in our Privacy Policy and the Data Processing Agreement.

8. Limitation of liability

To the maximum extent permitted by law, Fotiqo’s aggregate liability for any claim arising out of or relating to the Service is limited to the amounts paid to Fotiqo during the twelve (12) months preceding the event giving rise to the claim. Fotiqo is not liable for indirect, incidental, or consequential damages.

9. Governing law

These Terms are governed by the laws of Ireland. The courts of Dublin, Ireland, have exclusive jurisdiction over any dispute, subject to any non-waivable rights of EU consumers to bring proceedings in their Member State of residence.

10. Changes to terms

We may update these Terms from time to time. Material changes will be notified by email and/or in-product banner at least thirty (30) days before they take effect. Continued use after the effective date is acceptance of the updated Terms.
